If a corporation fails to appoint or maintain a registered agent, the Secretary of State is automatically appointed as its agent for service; the Secretary forwards served process by registered mail to the corporation's registered office. For LLCs, process may be served on an authorized person, then an organizer, and if none can be located with due diligence, on the Secretary of State (RSMo 347.033.2-.3).
Other. Personal liability: an officer or director who conducts business on behalf of an administratively dissolved corporation (beyond winding up) is personally liable for obligations so incurred.
Reinstatement Fee. Reinstatement of an administratively dissolved corporation requires a $50 reinstatement fee plus any delinquent fees, penalties and accrued charges, and a Department of Revenue tax clearance certificate. (LLC reinstatement after administrative cancellation of expired-duration articles carries a $100 fee, RSMo 347.183(6).)

Who has to register a fictitious name in Missouri?
RSMo 417.200 declares every name other than a person's true name to be a fictitious name and makes it unlawful to transact business under one without first registering it with the Secretary of State. RSMo 417.210.1 applies the duty to every person, general partnership, corporation, or other business organization, and the filing is due within five days after beginning business under the name. Partnerships or entities formed for the practice of a licensed profession are not deemed engaged in the conduct of business for this purpose (RSMo 417.210.6).
How long does a Missouri fictitious name registration last?
Five years. Under RSMo 417.210.7, registrations remain active on the Secretary of State's record for five years and expire unless renewed. A renewal is filed within six months prior to the expiration date and continues the registration for another five years (RSMo 417.210.9 and .10).
How much does Missouri's fictitious name filing cost?
The statute sets a fee of two dollars for registration or renewal (RSMo 417.220.1). The fee is waived if an owner is a member of the Missouri National Guard or other active duty military, resides in Missouri, and provides proof of service (RSMo 417.220.2).
