Moving an entity to another state: domestication and conversion, every jurisdiction

An LLC or corporation formed in one state can, in most states, become an entity of another state without dissolving and re-forming: the arriving state calls the instrument articles of domestication, a certificate of conversion, a statement of domestication or a transfer of jurisdiction, and the departing state records the exit with an instrument of its own. Whether each side allows the move, for which entity types, which state files first, what the arriving state charges, how the filing is made, whether a registered agent must be named on it, and what the departing state's record shows afterwards is a question each statute and filing office answers in its own way. This page reads it across all 54 jurisdictions, cited to the legislature's own publication and the filing office's own forms and fee schedules, and composes the eleven most-asked moves from the two sides. A move from A to B is A's outbound rule plus B's inbound rule; the entity type matters, because a corporation's rule is never carried to an LLC or a nonprofit. What any provider charges or recommends is its own business; this page records the state rule and the state fee only.

The most-asked moves

Each row joins the departing state's outbound cells (may it leave, by what instrument, at what fee, and whether a withdrawal is still owed at home) with the arriving state's inbound cells (may it arrive, by what instrument, which state files first, the fee to arrive, the filing method, and whether a registered agent is named on the filing). A side that has not cleared independent verification reads not yet established; the move is then not answerable from this record, and nothing is guessed in its place. Any other pair composes the same way from the table below.

Where the move is not available

No inbound domestication or conversion of jurisdiction: Guam, New York. An entity moving there forms a new entity under that state's own act and exits its home state separately.

No outbound instrument: Guam, Kentucky, New York, South Carolina, West Virginia. The exit from those states is dissolution and a fresh formation elsewhere, or a merger where the act allows one.

Limited inbound (some entity types or conditions only): Kentucky, Massachusetts, Michigan, Missouri, North Dakota, Ohio, Oregon, South Carolina, US Virgin Islands, Vermont, West Virginia. Limited outbound: Massachusetts, Michigan, Missouri, North Dakota, New Mexico, Oregon, US Virgin Islands, Vermont. The jurisdiction page states the operative rule and the entity types in each case.

Every jurisdiction

The verdict is the one the cited section supports for a corporation; the jurisdiction page lists every entity type the record resolves and the sentence behind it. Fee to arrive is the state's charge for the inbound instrument plus the formation document filed with it, as the filing office publishes them; where only the fee spine's conversion fee is established it is labeled as such. Agent named is whether the inbound filing must name a registered agent in the state.
