The regime
Missouri operates a mandatory statewide fictitious name registry. Any name other than a person's true name is declared a fictitious name, and it is unlawful to transact business under one without first registering it with the Secretary of State. The duty extends to individuals, general partnerships, corporations, and other business organizations, with the filing due within five days after beginning business under the name.

Assumed names for registered entities
On the entity side, a foreign corporation whose true corporate name does not satisfy Missouri's name requirements may transact business under a fictitious name by filing a certified board resolution adopting it with the Secretary of State; the fictitious name must be distinguishable from names already on the record. The general fictitious name act separately notes that foreign business entities with an ownership interest may be required to register and to first obtain a certificate of authority.
Penalties
Transacting business under an unregistered fictitious name is a misdemeanor.
Executing the registration is subject to the penalties for making a false declaration under RSMo 575.060 as to the truth of the facts stated and the filers' authority.

Who has to register a fictitious name in Missouri?

RSMo 417.200 declares every name other than a person's true name to be a fictitious name and makes it unlawful to transact business under one without first registering it with the Secretary of State. RSMo 417.210.1 applies the duty to every person, general partnership, corporation, or other business organization, and the filing is due within five days after beginning business under the name. Partnerships or entities formed for the practice of a licensed profession are not deemed engaged in the conduct of business for this purpose (RSMo 417.210.6).

How long does a Missouri fictitious name registration last?

Five years. Under RSMo 417.210.7, registrations remain active on the Secretary of State's record for five years and expire unless renewed. A renewal is filed within six months prior to the expiration date and continues the registration for another five years (RSMo 417.210.9 and .10).

How much does Missouri's fictitious name filing cost?

The statute sets a fee of two dollars for registration or renewal (RSMo 417.220.1). The fee is waived if an owner is a member of the Missouri National Guard or other active duty military, resides in Missouri, and provides proof of service (RSMo 417.220.2).

DOR (MO-1120 Instructions 2015): 'No franchise tax is imposed for tax years beginning on or after January 1, 2016, and corporations will no longer be required to file the report described in Sections 147.020 and 147.050, RSMo.'
