Statutory fee is the amount fixed by statute or the agency schedule. Effective remittance is what actually leaves the bank once any e-payment surcharge or bundled component is included.

Registered-agent rules in practice

Who may serve as the agent

Pending review

A corporation (and an LLC, under materially identical language in AS 10.50.055) must continuously maintain an in-state registered agent and registered office. The agent may be an individual Alaska resident whose business office is the same as the registered office, or a domestic or foreign CORPORATION authorized to transact business in Alaska with the same business office. Note: both the corporation and LLC statutes list only individuals and corporations as eligible agents; LLCs are not listed. Foreign corporations: AS 10.06.753.

Is the agent's consent required

Pending review

Consent required: no.

What happens when the agent cannot be served

Pending review

If the entity fails to appoint or maintain a registered agent, or the agent cannot with reasonable diligence be found at the registered office, the commissioner (Department of Commerce) becomes the entity's agent for service; the serving party pays a regulation-set fee and must also send notice and the papers to the entity by certified mail. Identical mechanism for LLCs (AS 10.50.065(b)) and for foreign corporations, including those whose authority is suspended or revoked (AS 10.06.765).

The regime
Alaska has no mandatory general DBA act. AS ch. 10.35 lets a person conducting an unincorporated business voluntarily register its business name with the state ('may register'), provided the name is distinguishable on the department's records; the chapter expressly does not abrogate rights between persons who have not registered.
Where it is filed
Registration is made by filing an application with the commissioner of commerce, community, and economic development (Department of Commerce, Community, and Economic Development) - a state-level filing, not a local one.
Term and renewal
Effective until the close of the fifth calendar year beginning with the year of initial registration (the initial year counts as a full year).
Name restrictions
A name is not available if it is not distinguishable on the department's records from organized entities and reserved or registered names, or if it gives the impression that the business is incorporated.
Assumed names for registered entities
A foreign corporation applying for a certificate of authority whose name is impermissible under AS 10.06.720 (missing corporate designator, misleading purpose words, municipality words, or unavailable under AS 10.06.105(d)) must select an acceptable assumed name to do business in Alaska; the commissioner cross-references actual and assumed names.

Common questions

Is registering a business name required in Alaska?

No general requirement appears in the statute. AS 10.35.040(a) says a person conducting a business 'may register' its name, and AS 10.35.080 confirms the chapter 'does not abrogate any rights between persons who have not registered a business name.'

What does registering a business name in Alaska actually get you?

Under AS 10.35.040(b), registration gives 'the exclusive right to the use of the name,' including the power to enjoin non-distinguishable uses and a cause of action for damages. This is stronger than most states' DBA statutes, which typically disclaim any grant of exclusive rights.

How long does an Alaska business name registration last, and how is it renewed?

It runs until the close of the fifth calendar year beginning with the year of initial registration (AS 10.35.060). It may be renewed every five years by filing a renewal application between October 1 and December 31 (AS 10.35.070). Fees are set by department regulation rather than in the statute.

Can a corporation register its name under AS ch. 10.35?

The chapter defines 'business' as an enterprise 'which is not incorporated' (AS 10.35.500(1)), so the registration path is for unincorporated businesses. A foreign corporation whose true name is impermissible in Alaska instead selects an assumed name during the certificate-of-authority process (AS 10.06.723).

How it is computed
Alaska levies no annual franchise tax; the analog is the BIENNIAL CORPORATION TAX, AS 10.06.845(a): flat $100 (domestic corporation) or $200 (foreign corporation) per two-year period, due before January 2 of the corporation's even/odd filing year and collected with the biennial report. No brackets, no cap, no base - flat per-entity amounts. Nonprofits exempt (AS 10.06.845(c), pay only the $25 report fee). LLCs are NOT subject to the AS 10.06.845 tax (their $100/$200 biennial amount is a regulation-set filing fee under AS 10.50.850). Late: 10% of the tax penalty for late report (AS 10.06.815) + $25 per year or part-year of tax delinquency (AS 10.06.845(a)); while delinquent the corporation may not commence suit in Alaska courts (AS 10.06.848).

No per-state franchise-tax research document exists for this jurisdiction. See the national picture.
